CORPORATE GOVERNANCE

Sakhumnotho takes good corporate governance and ethics very seriously and it forms an integral part of how we conduct business. The Board of Directors provide the overall strategic direction for the Group and set the tone for how management and staff conduct themselves. In line with the King Codes of good practice, our Board has a good mix of highly skilled and experienced independent non-executive directors. Our lead independent non-executive director ensures that there is balance and objectivity in how the Board conducts its business.

The Board has set up Committees to support its work by tapping into the specific talents, skills and knowledge of individual Board directors to inform and educate the full board on particular areas of concern. Committees allow the Board to manage its output more effectively through a series of specific initiatives and programmes to address organisation-wide issues.

The Board has the following Board Committees:
• The Investment Committee
• Audit Risk & Finance Committee
• Social Ethics & Transformation Committee
• Governance Strategy & Remuneration Committee
